Terms of Service

1. Agreement to Terms

By accessing our website or engaging WARDARA LLC ("Company," "we," "us," or "our") for home watch, estate management, or related services, you ("Client," "you," or "your") agree to be bound by these Terms of Service and our Privacy Policy.

IMPORTANT: Please read these Terms carefully. They contain important information about your rights and obligations, limitations on our liability, and a binding arbitration clause.

2. Description of Services

WARDARA LLC provides the following property management services in South Florida:

  • Home Watch: Regular visual inspections of vacant or seasonal properties
  • Estate Management: Comprehensive property oversight and vendor coordination
  • Concierge Services: Arrival preparation, grocery stocking, departure close-down
  • Storm Readiness: Hurricane preparation and post-storm assessment
  • Smart Home Support: Automation system monitoring and troubleshooting
  • Vehicle Collection Oversight: Care and maintenance of stored vehicles

3. Service Agreement

Prior to commencing services, clients will receive a separate Service Agreement detailing:

  • Specific services to be provided
  • Service frequency and schedule
  • Pricing and payment terms
  • Property access procedures
  • Emergency contact information

The Service Agreement, together with these Terms of Service, constitutes the complete agreement between the parties.

4. Nature of Services

4.1 Visual Inspection Only

Home Watch services are visual inspections only. We observe and report conditions but do not perform repairs, maintenance, or any work requiring professional licensing (electrical, plumbing, HVAC, etc.) unless explicitly contracted with licensed vendors.

4.2 Not a Security Service

WARDARA LLC is not a security company and does not provide armed response, alarm monitoring, or security patrol services. Home Watch visits are scheduled inspections, not security checks. We are not responsible for preventing theft, vandalism, or unauthorized entry.

4.3 Not an Insurance Substitute

Our services do not replace property insurance. While we strive to identify issues early, we cannot guarantee prevention of all damage. Clients must maintain appropriate homeowner's insurance coverage.

5. Client Responsibilities

As a Client, you agree to:

  • Provide accurate contact information and emergency contacts
  • Grant necessary access (keys, codes, gate access) for service performance
  • Maintain current and adequate property insurance
  • Notify us of any changes to property access, special conditions, or concerns
  • Authorize vendor access when coordination is required
  • Pay invoices according to agreed payment terms
  • Disclose any known property hazards (mold, structural issues, pest infestations)

6. Limitation of Liability

6.1 General Limitation

TO THE MAXIMUM EXTENT PERMITTED BY FLORIDA LAW, WARDARA LLC'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO OUR SERVICES SHALL NOT EXCEED THE TOTAL FEES PAID BY CLIENT TO WARDARA LLC IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

6.2 Exclusion of Consequential Damages

IN NO EVENT SHALL WARDARA LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of property value
  • Loss of rental income
  • Cost of alternative accommodations
  • Emotional distress
  • Business interruption

6.3 Force Majeure

We are not liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including:

  • Hurricanes, tropical storms, or other severe weather
  • Floods, fires, or other natural disasters
  • Government actions, evacuations, or curfews
  • Pandemics or public health emergencies
  • Power outages or utility failures
  • Road closures or inaccessible areas

6.4 Pre-Existing Conditions

We are not liable for damages resulting from pre-existing property conditions, including latent defects, prior construction issues, or conditions not reasonably discoverable through visual inspection.

7. Insurance

WARDARA LLC maintains general liability insurance. Certificate of insurance available upon request. However, our insurance does not cover:

  • Client property damage from causes beyond our control
  • Damage caused by third-party vendors (covered by their own insurance)
  • Pre-existing property conditions
  • Acts of God or natural disasters

8. Indemnification

Client agrees to indemnify, defend, and hold harmless WARDARA LLC, its owner, employees, and agents from any claims, damages, losses, or expenses (including attorney's fees) arising from:

  • Client's breach of these Terms
  • Client's failure to maintain adequate insurance
  • Hazardous conditions at the property not disclosed to us
  • Actions of third parties granted property access by Client

9. Dispute Resolution

9.1 Informal Resolution

Before initiating any formal dispute resolution, Client agrees to contact WARDARA LLC directly to attempt to resolve any concerns informally within 30 days.

9.2 Binding Arbitration

ARBITRATION AGREEMENT: Any dispute, controversy, or claim arising out of or relating to these Terms or our services shall be resolved by binding arbitration in Palm Beach County, Florida, in accordance with the rules of the American Arbitration Association. This agreement to arbitrate is governed by the Federal Arbitration Act.

9.3 Class Action Waiver

CLIENT AGREES TO RESOLVE DISPUTES ON AN INDIVIDUAL BASIS ONLY AND WAIVES ANY RIGHT TO PARTICIPATE IN CLASS ACTIONS, CLASS ARBITRATIONS, OR REPRESENTATIVE ACTIONS.

9.4 Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles.

10. Termination

10.1 By Client

Client may terminate services at any time with 30 days written notice. Client remains responsible for payment of services rendered through the termination date.

10.2 By Company

WARDARA LLC may terminate services immediately if:

  • Client fails to pay invoices within 30 days
  • Property becomes unsafe or inaccessible
  • Client breaches these Terms
  • Continuing service would violate law or professional standards

10.3 Effect of Termination

Upon termination, we will return all keys and property access devices within 7 business days. Final inspection reports will be provided within 14 days. Sections regarding Limitation of Liability, Indemnification, and Dispute Resolution survive termination.

11. Intellectual Property

All content on this website (text, images, logos, inspection reports, forms) is the property of WARDARA LLC and protected by copyright laws. Inspection reports and photographs are provided for Client's personal use only and may not be reproduced commercially without permission.

12. Website Terms

This website is provided "as is" without warranties of any kind. We do not guarantee uninterrupted access or error-free operation. Website contact forms are not secure; do not submit sensitive information (access codes, financial data) via the website.

13. Modifications

We reserve the right to modify these Terms at any time. Changes become effective upon posting to our website. Continued use of our services after modifications constitutes acceptance of the revised Terms. We will notify active clients of material changes via email.

14. Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall continue in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy and any Service Agreement, constitute the entire agreement between Client and WARDARA LLC regarding the subject matter herein.
